This License Agreement (“Agreement”) is a legal agreement between you (the “Licensee”) and ZEODE (“Licensor”), governing the use of the software, source code, scripts, plugins, or related materials (collectively, the “Software”). By purchasing, downloading, installing, or using the Software, the Licensee agrees to be bound by the terms of this Agreement.
1. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable, revocable license to:
Download and use the Software for personal use on Licensee-owned or directly controlled systems; and
Modify the Software solely for Licensee’s own internal and personal use.
No other rights are granted.
2. Restrictions
Licensee may not, under any circumstances:
Sell, rent, lease, license, sublicense, or otherwise redistribute the Software, modified or unmodified.
Share, upload, publish, or otherwise make the Software available to any third party.
Transfer this License or any rights granted under this Agreement to another person or entity.
Use the Software in any way that competes with or substitutes for purchasing the Software directly from Licensor.
Remove, modify, or obscure any copyright, trademark, or attribution notices.
Any violation of this section immediately and permanently terminates the License.
3. Ownership
The Software is licensed, not sold. All rights, including all intellectual property rights, remain the exclusive property of ZEODE. Any modifications made by the Licensee do not grant the Licensee any ownership or distribution rights.
4. No Warranty
The Software is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensee assumes all risk associated with use of the Software.
5. Limitation of Liability
In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from use of the Software.
6. Termination
This License remains in effect until terminated. Licensor may terminate this License at any time if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the Software and delete all copies in their possession.
7. Governing Law
This Agreement shall be governed by and interpreted under the laws of the jurisdiction in which Licensor operates, without regard to conflict of law principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties relating to the Software and supersedes all prior understandings.
